It is all of these coming together. Mistake is group-think. You need to have independent board members who can make clear logical independent calls for other Board members to consider as well as management. Need to have broad-based perspective while remaining cognizant of the pressure points, risks and business considerations and being able to weave these into discussions that happen in the Board meetings.
